Vercel Superhosts Program Terms

1.1 Scope.

The Vercel Superhost Program (the “Program”) is a community leadership initiative through which Vercel selects individuals (“Superhosts”) to organize and run high-quality local, in-person events (“Events”) that help builders learn, build, and ship with Vercel technologies. The Program operates globally.

1.2 Eligibility and Acceptance.

1. (a)
   To be eligible, you must (i) be at least 18 years old; (ii) be legally able to enter into a binding agreement where you live; (iii) hold a Vercel account in good standing; and (iv) not be subject to, or located in a country subject to, trade sanctions or export restrictions.
2. (b)
   Admission is at Vercel's discretion. Meeting the eligibility requirements does not guarantee it.

1.3 Your Obligations.

You must:

1. (a)
   host at least one Event per quarter in your designated city or region;
2. (b)
   create welcoming, inclusive Events that help attendees learn, build, and ship on Vercel;
3. (c)
   comply with Vercel's Code of Conduct and Brand Guidelines;
4. (d)
   use only Vercel-approved event and registration tools;
5. (e)
   identify each Event as community-led with Vercel support, not as an official Vercel event;
6. (f)
   ensure that the Event is exclusively branded with Vercel and must get Vercel's written approval before confirming any co-host, sponsor, or partner for an Event;
7. (g)
   submit a recap after every Event covering attendance, photos, feedback, notable projects, spend, and other information requested by Vercel;
8. (h)
   stay active in the Superhost Slack channel, respond to the Vercel team, and join periodic host calls;
9. (i)
   tell Vercel about your employer and any advocacy programs you take part in for other platforms; and
10. (j)
    when posting about Vercel or the Program, clearly disclose your relationship with Vercel, as required by applicable laws.

1.4 Program Benefits.

1. (a)

   Vercel will provide:

   1. (i)
      a stipend for food and drinks at the Event, at its discretion;
   2. (ii)
      a quarterly allocation of v0 credits for you;
   3. (iii)
      swag for you and your Events, subject to availability;
   4. (iv)
      access to the private Superhost Slack channel, periodic calls, and office hours with the Vercel team and other Superhosts;
   5. (v)
      resources including the event playbook, planning checklist, Brand Guidelines, asset library, and templates; and
   6. (vi)
      Superhost designation, a listing on the Vercel events calendar, and promotion through Vercel community channels.
2. (b)
   Vercel may modify, suspend, or discontinue any benefit by giving you reasonable notice.
3. (c)
   You are responsible for any taxes on the benefits you receive under the Program, including event funding and credits.

2.1 License to Vercel Marks.

Vercel grants you a non-exclusive, revocable, non-transferable, non-sublicensable, royalty-free license to use Vercel's name, logos, and trademarks (“Vercel Marks”) to promote and host Events during the term of these Program Term, in accordance with the Brand Guidelines.

2.2 Vercel IP.

Vercel retains all right, title, and interest in the Vercel Marks, its platform, services, and Program materials. All goodwill arising from your use of the Vercel Marks inures to Vercel.

2.3 Restrictions.

You must not (a) register any domain name, social media handle, or email address containing “Vercel” or “v0”; (b) create content that could reasonably be mistaken for official Vercel communications; or (c) use any third-party intellectual property without that party's consent.

2.4 Your Content.

You retain ownership of content you create for the Program (“Your Content”). You grant Vercel a non-exclusive, worldwide, perpetual, royalty-free, sublicensable license to use, reproduce, modify, distribute, and display Your Content to promote Vercel and the Program.

3.1 Scope.

“Confidential Information” means non-public information Vercel discloses to you in connection with the Program, including unreleased product and roadmap details, internal communications, and Program materials.

3.2 Obligation.

You must keep Confidential Information confidential, must not disclose it without Vercel's written consent, and must use it only to participate in the Program.

3.3 Exceptions.

These obligations do not apply to information that (a) is or becomes public through no fault of yours; (b) you knew before Vercel disclosed it; (c) you develop independently without using Confidential Information; or (d) you must disclose by law, provided you give Vercel prompt written notice where legally permitted.

4.1 Term.

These Program Terms take effect when you submit your application and will continue for an initial period of 12 months. After the initial period, these Program Terms will automatically renew for successive 12 month periods, unless terminated by a party giving the other at least 30 days' notice before the end of the relevant period.

4.2 Termination by You.

You may terminate your participation in the Program at any time by emailing legalnotices@vercel.com.

4.3 Suspension or termination by Vercel.

Vercel may suspend or terminate your participation at any time by giving you notice.

4.4 Effect of termination.

On termination, you must (a) stop using the Vercel Marks and Program materials; (b) remove Vercel branding from event pages and channels you control; and (c) return or destroy all Confidential Information in your possession.

4.5 Survival.

Sections 2.3, 2.4, 3, 4.4, 6, 7, and 8, and any term that by its nature is intended to survive, will survive termination of these Program Terms.

5.1 Your representations.

You represent and warrant that (a) the information you gave Vercel is accurate and complete; (b) your participation in the Program will not breach any other agreement to which you are a party; (c) you have the authority to grant the licenses in section 2; and (d) Your Content does not infringe or misappropriate any third-party rights.

5.2 Disclaimers.

The Program and all materials, resources, and benefits are provided “as is” and “as available.” Vercel disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and does not promise any level of Event attendance, community growth, or other outcome.

6.1 Your Indemnities.

You indemnify Vercel, its affiliates, and their directors, employees, and agents for all court awarded damages or agreed settlement amounts arising from any third party claim in connection with (a) any Event, including personal injury, death, or property damage; (b) your breach of these Program Terms or applicable law; (c) Your Content; or (d) your gross negligence or willful misconduct.

6.2 Defence of Claims.

Vercel will promptly notify you of any claim under this section 6 and may elect to conduct the defence. You must not settle a claim in a way that imposes an obligation on Vercel without Vercel's consent.

7.1 Indirect losses.

To the extent permitted by applicable law, neither party will be liable to the other in connection with these Program Terms or the Program (whether in contract, negligence, strict liability, tort, or on other legal or equitable grounds), for any loss of profits, loss of goodwill, loss or corruption of data, business interruption, or indirect, incidental, consequential, exemplary, special, reliance, or punitive damages, even if advised of the possibility of these damages.

7.2 General damages.

To the extent permitted by applicable law, Vercel's aggregate liability to you in connection with these Program Terms or the Program (whether in contract, negligence, strict liability, tort, or other legal or equitable grounds), for losses, damages, costs, and expenses is limited to $500 USD.

8.1 Governing law and Jurisdiction.

These Program Terms are governed by the laws of the State of California, without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.

8.2 Modifications.

Vercel may update these Program Terms by posting a revised version or emailing you at the address associated with your account. If you keep participating after that, you accept the changes. If you do not agree, you must leave the Program.

8.3 Assignment.

You may not assign or transfer any rights or obligations under these Program Terms without Vercel's written consent. Vercel may assign these Program Terms, including in connection with a merger, acquisition, or sale of all or substantially all of its assets.

8.4 Notices.

Notices must be in writing. Notices to you will be sent to the email address associated with your Vercel account. Notices to Vercel must be sent to legalnotices@vercel.com, Attn: VP of Legal.

8.5 Relationship of the Parties.

1. (a)
   You are an independent participant in the Program. Nothing in these Program Terms creates an employment, agency, partnership, joint venture, or independent contractor relationship between you and Vercel.
2. (b)
   You have no authority to bind Vercel or make commitments on Vercel's behalf, and must not hold yourself out as an employee, agent, or representative of Vercel.
3. (c)
   You are not entitled to wages, benefits, insurance, equity, workers' compensation, or any other employment-related compensation from Vercel. Benefits under these Program Terms are Program benefits only, not employment compensation.

8.6 Severability.

If any provision of these Program Terms is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the rest will remain in full force and effect.

8.7 Entire agreement.

These Program Terms, together with the Event Code of Conduct, Brand Guidelines, and event playbook, are the entire agreement between you and Vercel regarding the Program and supersede all prior or contemporaneous communications on the subject.

8.8 No waiver.

Vercel's failure to enforce any right or provision of these Program Terms will not constitute a waiver of that right or provision.
